Terms of Service

Effective date: September 12, 2026

These Terms are a contract between Nite-Lite Landscape Lighting, Inc. ("NiteLiteOS", "we", "us") and the business that creates an account ("you", "Customer"). By creating an account, subscribing, or using the service, you agree to them on behalf of your business. If you do not agree, do not use the service.

1. The service

NiteLiteOS is a subscription software service for landscape lighting businesses: a drawing and design tool, fixture schedules, bills of materials, electrical calculations, proposals, scheduling, invoicing, and payment collection through Stripe. We may add, change, or remove features. We will not remove a feature your paid plan depends on without reasonable notice.

2. Accounts and access

You must give accurate information and keep your login secure. You are responsible for everyone who uses your account, including your employees and technicians. Tell us at once if you believe an account has been compromised. Each account is for one business; you may not share, resell, or sublicense access.

3. Subscription and payment

Plans are billed in advance by card through Stripe at the price shown when you subscribe. Trials convert to paid unless cancelled before the trial ends. You may cancel at any time from Billing; cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where the law requires. We may change prices with at least 30 days' notice; the new price applies at your next renewal.

4. Client payments (Stripe Connect)

If you connect a Stripe account, your clients pay you directly through Stripe. NiteLiteOS charges a platform fee on each payment, shown in Billing and in the payment settings, in addition to Stripe's own fees. We are not a bank or money transmitter: funds move between your client and your Stripe account; we never hold them. Disputes, refunds, and chargebacks are between you, your client, and Stripe, under Stripe's terms, which you also agree to.

5. Your content and data

You own the drawings, proposals, customer records, photos, prices, and other material you put into the service ("Customer Data"). You give us a licence to host, process, back up, and display Customer Data as needed to provide the service to you and to your clients, and to produce aggregated, de-identified statistics that do not identify you or your clients. We will not sell Customer Data or show your prices to manufacturers, distributors, or other customers.

You are responsible for having the right to upload what you upload, including photographs, and for what you send to your clients through the service.

6. Our intellectual property

The service, including its software, design, drawing tool, electrical and wiring engine, catalog, layouts, text, graphics, and trademarks (including NITELITEOS), is owned by NiteLiteOS or its licensors and protected by copyright, trademark, trade secret, and patent laws (patent pending). You get a limited, non-exclusive, non-transferable right to use the service for your own business during your subscription. Nothing transfers ownership to you.

You agree not to, and not to allow anyone to:

• copy, download, scrape, crawl, or extract the service's code, data, catalog, or content, other than exporting your own Customer Data through the features we provide;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or structure of any part of the service, including client-side code delivered to your browser;
• build, train, or assist a competing product using the service or its outputs, or use the service to benchmark it for a competitor;
• remove or alter any proprietary notice, or use our trademarks without written permission;
• access the service by automated means, or use it in a way that burdens or interferes with it, or attempt to bypass any access control or usage limit.

If you send us ideas or feedback, we may use them without obligation to you.

7. Manufacturer catalog

Where the service shows manufacturer or distributor product information, photographs, or pricing, that content belongs to the manufacturer or distributor and is shown with their permission for your use inside the service. Dealer pricing is shown only to accounts the manufacturer has approved. You may not republish catalog content outside the service.

8. Acceptable use

Do not use the service for anything unlawful, to send unsolicited messages, to upload malicious code, or to infringe anyone's rights. We may suspend an account that violates these Terms, threatens the service, or is unpaid, after notice where practical.

9. Electrical calculations are estimates

Voltage-drop, load, transformer sizing, wiring suggestions, and similar outputs are design estimates produced from the information you enter. They are not an engineering certification and are not a substitute for compliance with the National Electrical Code, local codes, manufacturer instructions, and the judgement of a qualified installer. You are responsible for the installed system.

10. Warranties and liability

The service is provided "as is." We do not promise it will be uninterrupted or error-free. To the fullest extent the law allows, NiteLiteOS is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability for fraud or for anything that cannot be limited by law.

11. Indemnity

You will defend and indemnify NiteLiteOS against claims arising from your Customer Data, your clients, your installations, or your breach of these Terms.

12. Termination

Either side may end the subscription as described in Section 3. We may end it for material breach that is not cured within 15 days of notice. After termination you may export your Customer Data for 30 days, after which we may delete it. Sections 5 (licence to Customer Data, to the extent needed to wind down), 6, 9, 10, 11, and 14 survive.

13. Changes to these Terms

We may update these Terms. Material changes will be posted in the app or emailed at least 15 days before they take effect. Continued use after that date is acceptance.

14. Governing law

These Terms are governed by the laws of the State of New York. Disputes will be brought in the state or federal courts located in Suffolk County, New York, and you consent to their jurisdiction. Either party may seek an injunction in any court to protect its intellectual property or confidential information.
